Terms of Service — OEEverse

Last updated: «confirm — date you publish» These Terms govern your use of OEEverse, provided by PROCUREFLOW TECHNOLOGIES PRIVATE LIMITED (CIN U62011PN2026PTC256784) (“we”, “us”), Pune, Maharashtra, India. By creating an account or using the Service, you agree to these Terms.

1. The service

OEEverse is an OEE and shift-efficiency platform — a web console plus an offline-first Android app — that turns each machine-shift into an OEE number (Availability × Performance × Quality) and a priced loss report. OEE figures are decision-support based on the data you enter; they are not a certified metrology or compliance record.

2. Accounts & eligibility

You must be at least 18 and able to enter a binding contract, and provide accurate registration details. You are responsible for your workspace, your users (owners, supervisors, operators), keeping credentials secure, and all activity under your account.

3. Plans, free trial & billing

  • OEEverse offers three plans — Starter, Professional and Business — purchasable for a term of 3, 6 or 12 months (the 12-month/annual term is the best value). Prices are exclusive of GST, which is added as applicable; a GST receipt is issued on payment.
    • Starter — ₹25,000/year (₹7,500 / ₹15,000 for 3 / 6 months) · 1 plant, up to 5 machines, 10 operators.
    • Professional — ₹50,000/year (₹15,000 / ₹30,000) · 1 plant, up to 15 machines, 30 operators · adds scheduled reports and multiple production lines.
    • Business — ₹1,00,000/year (₹30,000 / ₹60,000) · 2 plants, up to 30 machines, 75 operators · adds multi-plant dashboard, data-validation workflow, advanced analytics, and API/ERP & IoT integration.

  • A 15-day free trial is available (no card required); the trial includes Professional-level features and limits.
  • Billing is server-priced from our plan/term matrix via our payment gateway, Razorpay — a client-supplied amount is never accepted. We never receive your full card details.
  • Renewal & refunds: «confirm — align to the ProcureFlow Technologies family policy (e.g. no auto-renew; subscription fees non-refundable, cancel any time to stop future renewals), and match the Pricing page.»
  • We may change prices with prior notice; changes apply from your next term.

4. Your data and content

  • You own your business data (plants, machines, shift records, OEE, downtime reasons, operator records). You grant us the limited licence needed to host, process and display it to provide the Service, including computing OEE and delivering the reports to the recipients you configure.
  • You are responsible for the accuracy and lawful basis of the data you enter, including operator personal data and the report recipients (email/WhatsApp) you configure.
  • We handle personal data as described in our Privacy Policy.

5. Acceptable use

You will not use the Service unlawfully; to upload malware; to breach security or another tenant’s data isolation; or to reverse-engineer or resell the Service. We may suspend accounts that violate these Terms or the law.

6. Availability & support

We aim to keep the Service available and provide support per your plan, but do not guarantee uninterrupted or error-free operation. The app is offline-first — shift data captured offline syncs when connectivity returns; sync timing may vary.

7. Not a certified metric

OEEverse computes OEE and priced losses from the data your team enters; the outputs are operational decision-support, not a certified or audited measurement. You remain responsible for your own operational and statutory decisions.

8. Intellectual property

We and our licensors own the software, brand and IP. “OEEverse”, its logo, and related marks are our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Suspension & termination

You may cancel at any time. We may suspend or terminate for breach, non-payment, or legal reasons. On termination you may request export of your data for «confirm — e.g. 30 days», after which we delete or anonymise it per the Privacy Policy.

10. Warranties & limitation of liability

The Service is provided “as is” to the fullest extent permitted by law. To the maximum extent permitted, our total liability arising out of or relating to the Service is limited to the fees you paid to us in the 12 months before the claim, and we are not liable for indirect, incidental or consequential losses.

11. Governing law & jurisdiction

These Terms are governed by the laws of India, and the courts at Pune, Maharashtra have exclusive jurisdiction, subject to applicable law.
